Why the paperwork is worth thinking through before opening, not after

The legal form and the tax regime chosen at the start are hard to change without loss once the first months of trading have passed — moving between regimes is usually possible only from the beginning of a new tax period. A mistake at this stage is not fatal, but it can cost you extra months of reporting under an unfavourable regime. It makes sense to settle these questions alongside choosing the city and before the lease is signed, rather than at the last moment before opening.

For most first-time owners of a single site the sensible starting point is a sole trader — the least bureaucracy at the start. The decision depends on the ownership structure: if several partners are involved or outside financing is expected, an LLC is usually more convenient in terms of dividing shares and liability.

Choosing a tax regime

The key choice is between the simplified tax system on “income” and on “income minus expenses”. The first is simpler to keep books for and pays off when the share of documented expenses is small; the second is better when the expenses (rent, utilities, maintenance, the royalty under a franchise) make up a substantial share of revenue, as they usually do at a self-service car wash. In a number of regions sole traders can use the patent system — its terms and the cost of the patent differ from region to region and need to be checked separately. The right choice of regime depends on the cost structure of your particular site — the decision is worth making with an accountant before you file the registration documents rather than changing it after the fact.

The cash register and taking payment

Taking payment from private individuals generally requires a fiscal cash register. Employees: are they formally needed at all
